Fountain Valley Business Enterprise Tutoring FAQ
Business enterprises is a core class for any future lawyer who wants to work with businesses. Understanding the types of businesses and the rules that govern them is key. The course will start with discussing partnerships and the rights of partners. It is also important for you to know the responsibilities of partners, because each partner is liable for the business torts of each other partner.
You will also learn the rules of how a partner, or someone acting as if they are a partner, can bind the company in an agreement. After learning all of the risks of a partnership, you will learn about corporations and limited liability companies. These are types of businesses that limit the liability of the owners and operate as separate legal entities. There is also an established set of rules for these types of companies; these rules protect minority owners, allowing them to sue to protect their interests or making sure that they have access to the books and records of companies.
You will also learn about how states have established a set of default rules for running a company. This includes everything from the number of members on a board of directors, to the percentage of those directors who make up a quorum for a meeting or who need to approve of a measure. There are similar default rules for shareholder meetings and the decisions that must be made by them. All of the rules assume that there will be shareholders who do not take part in running the business.
Varsity Tutors can connect you with business enterprises tutoring, which can help you understand how these rules work with fact patterns and how to determine if the decisions being made by the businesses are being done properly. You will need to be able to look at facts and evaluate whether a director is voting based on his or her own interests or those of the company, and whether that means that the planned action should be disallowed or whether it is still permissible.
Business enterprises tutoring can show you the best way to analyze the facts and how to come up with the answer. You will also wrestle with piercing the corporate veil or going after the owners of a company. This is a legal tactic that can be difficult to understand and is a favorite area of professors for testing purposes. Business enterprises tutoring can show you when a business owner is acting in a way that makes piercing the corporate veil possible.
Business enterprises can be a very difficult subject to get a handle on. A private tutor can help with this by providing you with the type of individual attention you might need to fully understand it. A private tutor can help identify your strengths and weaknesses and develop a plan to help you get the most out of your tutoring sessions. Additionally, your private tutor can adapt the way they teach to fit your specific learning styles
Varsity Tutors can help you connect with a tutor who has the knowledge and experience to assist you in working out all these problems and fact patterns, and who is likely to be a law student or lawyer.

Recent Fountain Valley Business Enterprise Tutoring Session Notes
Mandarin - worked on expanding our usage of event related grammar patterns focusing on past, present and future tense. Ideally we would spend more time on each of these points, but there is a lot to review for this particular exam.
Today was a very good session. She is doing a much better job with geometry problems. She needs to make sure that she doesn't over-complicate the questions and realize that many are just asking about simple concepts. I would like her to work more on timing herself as she takes practice tests, and I gave her a number of exercises to work on before our next session.
The student and I worked primarily on the Math section of the ACT. He is very gifted in Math, but he struggles with some Geometry and Trigonometry problems. The student has trouble overcoming problems once he gets stuck. We are working on overcoming that hurdle by making himself ask the question, "What else can I do?" He just needs to work methodically through the problems, solving for everything he can, and eventually the path to the correct answer will arise. Even if he cannot see how to solve a problem at first, he still needs to work through it using the information he knows.
First, the student went through his sight word flashcards. He was able to read all on the first try with only 3 errors. Later in the session, he only made one mistake. Then, we went through some new vocabulary words and predicted their meanings. He looked up words he was not sure of and discussed how they may be used in sentences. After, I read a book to him modeling phrasing and pausing. At the end, he read a new novel aloud and focused on ending sentences with the correct inflection.
The student did very well on her practice tests this time. She scored two 32s. She has improved greatly on her science section, and she is making fewer and fewer mistakes in math. She should focus on writing her essays now. The most important aspect of doing well on the essay section is to write professionally and leave out the colloquialism.
Today the student and I reviewed concepts related to the gas laws, specifically focusing on concepts related to the effects of pressure and temperature on the solubility of gases in a liquid. Next time we will begin discussing acid/base and solution equilibria.
